Subject description

This subject analyses the law of securities regulation in Australia in the context of global financial and other markets. It will cover the regulation of the primary and secondary capital markets, and the application of these laws in the corporate and commercial sectors. International developments in securities regulation will also be covered. Some or all of the following topics are likely to be covered: History and Globalization of Markets; Definition of Security and Financial Product; Regulating Offers of Securities; Regulating Offers of Financial Products; Liability for Defective Disclosure; Continuous Disclosure; Insider Trading and Market Manipulation; Takeovers, Mergers and Acquisitions; and International Securities Regulation.
